Terms of Use

The agreement between Vitafiq, Customers, Professionals, and authorized staff

PLEASE READ: These Terms govern use of the Vitafiq Platform. Professionals remain responsible for the services they provide, their staff, records, licensing, privacy compliance, and client relationships.

1. The agreement

These Terms of Use (“Terms”) are a contract between Vitafiq Technologies Inc. (“Vitafiq”, “we”, “us”) and you. They govern vitafiq.com and every Vitafiq marketplace, booking, practice-management, scheduling, messaging, payment, virtual-service, studio-management, analytics, and related tool we make available (together, the “Platform”).

Our Privacy Policy, Professional Agreement, your order or subscription details, and any terms presented for a specific feature form part of this contract. If documents conflict, the more specific terms govern that feature or service.

You accept these Terms by creating an account, clicking “I agree”, signing an order, or using the Platform. If you act for a business or organization, you confirm that you have authority to bind it, and “you” includes that entity. If you do not agree, do not use the Platform.

Who these Terms cover

  • Customer: a person who browses, books, purchases, or receives a service through the Platform.
  • Professional: an independent wellness, fitness, personal-care, or health-related practitioner, clinic, studio, or business that lists or delivers services through the Platform.
  • Account Owner: the individual authorized to administer a Professional account, billing, data access, staff access, and permissions.
  • Authorized User: an employee, contractor, practitioner, or staff member invited to use a Professional account.

You must be at least 18, or the age of majority where you live, to hold an account. A parent or legal guardian may book for a minor through the adult’s account and is responsible for the booking and for any consent the Professional requires.

2. What Vitafiq is, and is not

Vitafiq provides technology that helps Customers discover, book, communicate with, and pay Professionals, and helps Professionals manage their practices, staff, locations, and services. Unless checkout expressly states otherwise, the Professional is the provider and seller of the booked service. Vitafiq is not the Professional’s employer, agent, clinic operator, insurer, or guarantor, and is not a party to the professional service itself.

Each Professional is solely responsible for the quality, safety, suitability, pricing, delivery, licensing, insurance, records, taxes, and legal compliance of its services. Customers must decide whether a service and Professional are suitable for them.

Verification badges, reviews, rankings, analytics, and search placement are informational. They are not a guarantee, endorsement, or recommendation. We review information submitted to us at the level we consider appropriate for the service and location, but we do not supervise service delivery.

Emergency notice: Nothing on the Platform is medical, legal, financial, or tax advice. In an emergency, contact emergency services, not the Platform.

3. Accounts, staff, permissions, and account ownership

Provide accurate, complete information and keep it current. Each user must use their own login; credentials may not be shared, transferred, or used to impersonate another person. Use strong passwords and multi-factor authentication where available.

The Account Owner controls Authorized Users, locations, roles, and permissions. The Account Owner is responsible for their activity, must grant only the access each person needs, and must promptly remove access when a person changes role or leaves. Professionals must independently maintain any access, audit, or record controls required by law or professional standards.

We may rely on instructions from the Account Owner shown in our records. Account ownership may be transferred only through our approved process and may require proof of authority. We do not decide employment, partnership, ownership, custody, or data disputes between current or former owners, staff, or contractors. We may restrict changes or freeze access while authority is unclear or while required to protect data.

4. Bookings, cancellations, refunds, and client policies

A booking creates an agreement between the Customer and the Professional. Before confirmation, the Platform displays the Professional’s price, deposit, cancellation window, late-cancellation and no-show fees, and refund policy. By confirming, the Customer accepts those terms. A Professional may charge a card on file only as authorized at checkout or later by the Customer and may decline or cancel a booking for lawful safety or professional reasons.

If a Professional cancels, amounts paid through the Platform for that service will be refunded. For other service concerns, contact the Professional first. If the issue remains unresolved after seven days, contact us. We may review Platform records and facilitate a refund or credit, but the Professional remains responsible for its service and customer service. Nothing here limits rights that cannot be waived under consumer-protection law.

Packages, memberships, class passes, and gift cards

These products are issued by the Professional identified at purchase and are subject to the terms displayed before purchase, including eligible services, renewal, cancellation, transfer, pause, and expiry rules. Recurring plans require clear Customer authorization and a cancellation method that is reasonably accessible. Provincial gift-card and consumer-protection laws prevail where they prohibit expiry dates, fees, or other restrictions.

5. Payments, subscriptions, payouts, and taxes

Payments may be processed by third-party payment providers. Their terms apply when you pay or receive funds. Vitafiq is not a bank, deposit account, escrow service, or money transmitter and does not store full payment-card numbers. Processors and card networks control authorization holds, settlement timing, verification, reversals, and disputes.

Customers

The total price, including applicable tax and any disclosed Platform fee, is shown before payment. You authorize the displayed charge, any recurring payment you separately approve, and any deposit, late-cancellation, or no-show fee under the policy accepted at booking. Tips are allocated to the Professional, subject only to payment-processing adjustments.

Professionals

To receive payouts, you must complete any identity, business, tax, banking, sanctions, fraud, and payment-account verification required by us or the processor. You authorize us and the processor to share information needed for those checks and to debit, hold, reserve, offset, or recover funds reasonably required for refunds, disputes, chargebacks, fraud reviews, processor assessments, or amounts you owe. You remain responsible for negative balances and payment activity connected with your account.

Subscription and transaction fees are those displayed in your order, dashboard, or pricing page. Recurring subscriptions renew for the same term at the then-current price until cancelled through the available account process. Cancellation normally takes effect at the end of the current billing period, with no partial refund unless these Terms or applicable law provide otherwise. We will give at least 30 days’ notice before a subscription-price increase. Failed payments may result in suspension after notice.

You are responsible for your income taxes and for charging, collecting, reporting, and remitting sales taxes on your services. Vitafiq will calculate, collect, or remit tax only where the Platform says we do so or the law requires it.

Free trials, promotions, and test accounts

A trial converts to a paid subscription only if that was clearly disclosed and you provided a payment method and authorization. Promotional credits are subject to the conditions shown and have no cash value. Demo or test accounts must use fictitious or synthetic data only; do not enter personal health information, payment-card data, information about minors, or other sensitive personal information. Test data and test accounts may be deleted at any time.

6. Professional obligations and service standards

A Professional agrees to:

  • Credentials and insurance: hold and keep current every licence, certification, registration, permit, and insurance required for each service and location, and notify us within five days of any suspension, restriction, expiry, complaint, or investigation that could affect safe or lawful delivery.
  • Accurate listings: keep qualifications, services, prices, availability, locations, staff assignments, policies, and claims complete and accurate, and honour the terms displayed when a Customer books.
  • Safe delivery: provide services competently and lawfully; use suitable facilities and equipment; screen for contraindications where appropriate; obtain informed consent; and maintain an appropriate emergency and incident-response process.
  • Records and privacy: create, retain, disclose, and dispose of records as required by law and professional standards; use appropriate secure Platform fields; and provide required privacy notices and consent choices.
  • Staff accountability: verify the qualifications of Authorized Users, configure appropriate access, train them on privacy and security, and remain responsible for their Platform activity and service delivery.
  • Client care: respond to messages, accessibility needs, complaints, refunds, safety issues, and record requests promptly and cooperate with reasonable safety, payment, privacy, and compliance reviews.
  • Fair Platform use: use Customer information only for lawful service delivery and follow-up, and do not steer Customers away from the Platform solely to evade agreed fees.

Professionals and Authorized Users are independent from Vitafiq. Nothing in these Terms creates employment, partnership, franchise, fiduciary, agency, or joint-venture status.

7. Regulated and prohibited services

Only list services permitted by the Platform and lawful in every place where they are offered or received. Unless Vitafiq expressly approves the category, the Platform may not be used for emergency care, prescribing or dispensing controlled substances, unlawful medical or therapeutic claims, adult or sexual services, weapons or dangerous products, deceptive or predatory practices, discrimination, or services that create an unreasonable safety, fraud, payment, or reputational risk. We may require additional review, documents, limits, or removal of an offering.

8. Virtual services

The Professional must determine whether a virtual service is appropriate, permitted across the relevant jurisdictions, and within the Professional’s competence and licence. The Professional must verify identity where appropriate, obtain required consent, protect privacy, explain material limitations, keep required records, and maintain a process for emergencies or escalation to in-person care.

Customers are responsible for using a reasonably private location, compatible equipment, and a reliable connection. Virtual services may be interrupted or less suitable than in-person services. The Platform’s video, messaging, and connectivity tools do not replace professional judgment and are not emergency services.

9. Communications, reminders, and marketing

You agree to receive transactional communications needed to operate your account and bookings, including confirmations, reminders, receipts, security alerts, service notices, and changes to these Terms, by email, SMS, push notification, or in-Platform message. Carrier and data charges may apply. Delivery is not guaranteed, so users remain responsible for checking schedules and account notices.

Marketing is separate and optional. Professionals must have a lawful basis and any consent required before sending promotional messages through the Platform, must identify themselves, honour unsubscribe requests, and comply with Canada’s anti-spam law (CASL) and other applicable communications rules. Platform messaging may not be used for emergencies, harassment, spam, or unrelated solicitation.

10. Automated features

The Platform may offer forecasts, summaries, recommendations, automated messages, or other features generated by automated systems. Outputs may be incomplete, inaccurate, or inappropriate for a particular person. They are provided for administrative support and are not medical, legal, financial, tax, employment, or regulatory advice.

Users must review outputs before relying on, publishing, or sending them. Professionals remain responsible for prices, policies, schedules, records, client communications, professional decisions, and timely human escalation. Data handling for these features is governed by our Privacy Policy and any feature-specific notice.

11. Privacy, client records, and security

Our Privacy Policy explains how Vitafiq handles personal information. Professionals are responsible for determining their obligations as a health information trustee, custodian, controller, organization, or equivalent role under applicable law. Where Vitafiq processes Professional-controlled client information to provide the Platform, we act on the Professional’s instructions except where law or our direct relationship with a Customer requires otherwise.

As between Vitafiq and a Professional, the Professional retains its rights in and control over its client lists, intake forms, clinical or treatment notes, assessments, and service records, subject to each Customer’s rights and applicable law. Professionals may export supported data while their account is active and for 90 days after closure, unless a different period is shown for their plan or the law requires otherwise. Export promptly; after the applicable period, data may be deleted or de-identified.

Customers may access, correct, download, or request deletion of their Vitafiq account information, subject to legal exceptions. Requests concerning a Professional’s records should be directed to that Professional; we will assist with routing where appropriate.

Security

Vitafiq uses administrative, technical, and physical safeguards reasonably designed to protect Platform data. No system is completely secure. We will notify affected users of a confirmed breach when and as required by law and will take reasonable steps to contain and address it. Users must protect credentials, devices, exports, local copies, and connected systems and configure role-based access appropriately.

We may create and use aggregated or de-identified information to operate, secure, analyze, and improve the Platform and publish industry insights, provided it is not reasonably capable of identifying a person.

12. Content, reviews, and intellectual property

Your content

You retain ownership of content you submit, including profile text, photos, logos, service descriptions, messages, forms, and reviews. You grant Vitafiq a worldwide, non-exclusive, royalty-free licence to host, reproduce, format, display, and distribute that content as needed to operate, secure, improve, and promote the Platform and your presence on it. This licence ends when the content is deleted, except for reasonable backups, legal retention, and content already lawfully shared.

You confirm that your content is accurate, lawful, and non-infringing; that you have all permissions, releases, and consents needed for names, images, testimonials, and personal information; and that you will not upload another person’s health information outside the secure workflow intended for it.

Reviews

Reviews must relate to a genuine experience and reflect the reviewer’s honest view. Do not create, buy, trade, pressure, or incentivize misleading reviews. Professionals may respond but must not reveal private Customer information. We may remove content that breaches these Terms, law, or our review standards, but we do not remove a review merely because it is negative.

Vitafiq property

The Platform, software, design, trademarks, and content created by Vitafiq belong to Vitafiq or our licensors. We grant you a limited, revocable, non-exclusive, non-transferable right to use the Platform for its intended purpose. Feedback may be used without restriction or compensation. Copyright concerns may be sent to hello@vitafiq.com for handling under applicable Canadian law.

13. Acceptable use

You may not:

  • break the law, professional obligations, card-network rules, or another person’s rights;
  • post false, misleading, discriminatory, hateful, sexual, defamatory, harmful, or unsubstantiated health content;
  • impersonate another person or misrepresent identity, qualifications, authorization, affiliation, pricing, or service outcomes;
  • harass users, send spam, manipulate reviews, abuse promotions, or contact users for purposes unrelated to a lawful relationship;
  • upload malware, test vulnerabilities without written permission, bypass access controls or usage limits, interfere with the Platform, or access data or accounts without authorization;
  • scrape, systematically download, frame, mirror, copy, resell, sublicense, reverse engineer, or commercially exploit the Platform except as expressly permitted; or
  • use Platform data, content, output, or technology to benchmark or build a competing product, or to train or improve an AI or machine-learning model, without our written permission.

We may investigate suspected misuse, preserve evidence, remove content, restrict features, delay payouts, suspend accounts, and report unlawful activity. Where appropriate and safe, we will explain the action and offer a reasonable opportunity to respond.

14. Third-party services and integrations

The Platform may connect to payment processors, video services, maps, calendars, accounting tools, social sign-in, communications providers, app stores, and other services we do not control. Their terms, fees, and privacy practices apply when you use them. We are not responsible for their acts, omissions, data practices, or outages. You are responsible for authorizing integrations, reviewing their access, and disconnecting them when no longer needed.

15. Platform changes, support, beta features, and availability

We may add, modify, test, limit, or retire features, plans, usage limits, and integrations. Beta, pilot, and early-access features are optional, may be incomplete, are provided “as is”, and may be changed or withdrawn. If we retire a material paid feature, we will give reasonable notice and, where appropriate, a pro-rated credit or refund for the affected prepaid period.

We aim to keep the Platform available but do not promise uninterrupted or error-free service. Maintenance, security events, internet failures, third parties, and events beyond reasonable control may cause interruptions. Users are responsible for compatible devices, connectivity, backups of exported data, and reasonable continuity procedures. Any service-level commitment applies only if stated in a separate written agreement.

16. Suspension, termination, and data return

You may close your account or cancel a subscription through the available account process. Fees already due remain payable, confirmed bookings must be honoured or cancelled under the applicable policy, and Professionals should export their data first.

We may suspend or terminate access for a material breach, non-payment, fraud, security or safety risk, repeated substantiated complaints, unlawful conduct, processor or regulatory requirement, or discontinuation of the Platform. We will give notice and, for a curable issue, a reasonable opportunity to correct it unless immediate action is needed to protect people, data, the Platform, or the law. If we terminate a paid subscription without cause, we will refund the unused prepaid portion.

On termination, access rights end. Sections that by their nature should continue including payment obligations, intellectual property, confidentiality where applicable, disclaimers, liability limits, indemnity, disputes, and data-retention provisions survive.

17. Disclaimers

To the fullest extent permitted by law, the Platform is provided “as is” and “as available”, without express or implied warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, security, or uninterrupted operation. Vitafiq does not warrant any Professional’s conduct, qualifications, availability, service quality, advice, safety, or outcome; any Customer’s conduct; or any third-party service. Some legal rights cannot be excluded, and those rights remain.

18. Limitation of liability

To the fullest extent permitted by law, Vitafiq and its affiliates, directors, officers, employees, and contractors are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, business opportunity, or the cost of substitute services, arising from the Platform, these Terms, a third-party service, or a Professional–Customer interaction, however caused.

Liability cap: Vitafiq’s total aggregate liability for all claims arising from the Platform or these Terms is limited to the greater of CAD $100 and the fees you paid directly to Vitafiq during the 12 months before the event giving rise to the claim. These limits do not apply to fraud, wilful misconduct, death or personal injury caused by our negligence, or liability that law does not permit us to limit. Claims arising from a Professional’s services remain against the Professional.

19. Indemnity

If you are a Professional or use the Platform for business, you will defend and indemnify Vitafiq and its affiliates, directors, officers, employees, and contractors against third-party claims, losses, chargebacks, fines, penalties, and reasonable legal costs arising from your services, Authorized Users, content, client relationship, payment activity, data handling, breach of these Terms, infringement, or violation of law, except to the extent caused by Vitafiq’s breach, negligence, or wilful misconduct. We will promptly notify you and allow you to control the defence, provided no settlement admits fault or imposes obligations on Vitafiq without our consent.

20. Changes to these Terms and electronic communications

We may update these Terms as the Platform, our business, or the law changes. The current version and effective date will be posted at vitafiq.com/terms. For a material change, we will give at least 30 days’ notice by email or through the Platform before it takes effect, unless law or an urgent security issue requires faster action. Changes are not retroactive. If you disagree, stop using the Platform and close or cancel your account before the effective date.

You consent to receive contracts, disclosures, transaction records, policies, notices, and other Platform communications electronically. Electronic communications have the same effect as paper communications where permitted by law. Keep your contact information current and retain copies important to you.

21. Governing law and disputes

These Terms are governed by the laws of Saskatchewan and the federal laws of Canada applicable there, without regard to conflict-of-law principles. Before starting a proceeding, write to hello@vitafiq.com with enough detail to understand the issue; we will respond within 15 business days, and both sides will try in good faith to resolve it for at least 30 days.

Unresolved disputes will be brought in the courts of Saskatchewan, and each side submits to their jurisdiction. Nothing prevents urgent injunctive relief, a claim in an eligible local small-claims court, a complaint to a regulator, or the exercise of consumer or privacy rights that cannot legally be waived.

22. General

These Terms, the Privacy Policy, the Professional Agreement, your order, and applicable feature terms are the entire agreement about the Platform and replace earlier discussions on that subject. If a provision is unenforceable, it will be limited to the minimum extent necessary and the rest remains in effect. A failure to enforce is not a waiver.

You may not assign these Terms without our consent. We may assign them to an affiliate or successor in connection with a reorganization, merger, financing, acquisition, or sale of assets, with notice where required. Neither side is responsible for delay caused by events beyond reasonable control, except for accrued payment obligations. The English version governs if a translation conflicts.
